Terms of service

1. General
These terms govern the use of the Tendstar service available at tendstar.app (the “Service”). The Service is provided by [full name or company name, address, tax ID] (“Tendstar”, “we”). Contact: antekmiszczyk11@gmail.com.
The Service is intended for businesses and people acting on behalf of businesses (the “Customer”, “you”). By creating an account you accept these terms and our Privacy policy.
2. What the Service is
Tendstar is browser-based software (SaaS) that fetches reviews from your Google business profile, drafts replies with the help of artificial intelligence, and publishes them on your behalf once you approve them or according to auto-publish rules you set. The features available depend on the plan you choose, as described on the pricing page.
3. Account and Google access
- To use the Service you need a Google account with permission to manage your business profile.
- You confirm that you are entitled to manage the business profiles you connect to Tendstar and to reply to reviews on their behalf.
- You are responsible for the security of your Google account and for activity under your Tendstar account.
- You can revoke Tendstar’s access at any time in your Google account settings. The Service then stops working for that profile.
4. Subscription and payment
- The Service is paid from day one. We do not offer a trial period. Access starts once the first billing period has been paid.
- The Service is billed as a monthly or yearly subscription at the prices shown on tendstar.app on the day of purchase. A yearly plan costs the same as 10 months of the monthly plan. [to be decided: whether prices include sales tax or VAT]
- Fees are charged in advance for the whole billing period through Stripe. Your subscription renews automatically for the same period until you cancel it.
- Invoices are available in your dashboard and sent by email.
- We will give you at least 30 days’ notice of any price change, which applies from your next billing period.
- If a payment fails, we may pause the Service until it is settled.
5. Cancellation
- You can cancel your subscription at any time in your dashboard, with no reason needed and no notice period.
- Cancelling stops the subscription from renewing. Your plan keeps working until the end of the period you paid for, after which access to the Service’s features ends.
- We do not refund the unused part of a billing period unless mandatory law requires it.
- You can delete your account and data at any time, as described in our Privacy policy.
6. Your responsibilities and replies published on Google
- Replies published on your business profile are your statements. You are responsible for their content, including when auto-publish is on.
- Draft replies are written by AI and may contain mistakes or inaccuracies. Check them before approving, and keep the business information in your settings up to date.
- You agree to use the Service lawfully and in line with Google’s policies on reviews and business profiles. You may not use the Service to publish content that is abusive, misleading or infringes the rights of others.
7. Availability
We work to keep the Service running without interruption, but we do not guarantee constant availability. The Service depends on third-party services, in particular the Google Business Profile API and the Claude API. Changes, limits or outages on their side may affect Tendstar. Where possible we will announce planned maintenance in advance.
8. Liability
- We are not liable for the content of replies you approve or that are published under your rules, or for how customers or Google respond to them.
- We are not liable for losses caused by outages of or changes to third-party services (Google, Anthropic, Stripe, hosting providers) that are outside our control.
- Our total liability to you is limited to the fees you paid for the Service in the 12 months before the event that caused the loss.
- We are not liable for lost profits or indirect losses.
- These limits do not apply to losses caused intentionally or to any other case where the law does not allow liability to be limited.
9. Intellectual property
The Tendstar software, brand and design belong to us. You receive a non-exclusive, non-transferable right to use the Service for the duration of your subscription. You keep the rights to the content you enter and to the replies drafted for your business.
10. Suspension and termination by Tendstar
We may suspend or close your account if you seriously breach these terms, the law or Google’s policies, after asking you to stop, unless the breach requires immediate action. If we close your account through our own fault, we will refund the unused part of your fee pro rata.
11. Data processing
For the personal data of review authors, we process data on your behalf as a processor, solely to provide the Service. [A data processing agreement (DPA) will be attached as an annex.]
12. Complaints
Send any complaints about the Service to antekmiszczyk11@gmail.com. We will reply within 14 days.
13. Changes to these terms
We will tell you about changes to these terms by email or in the app at least 14 days before they take effect. If you do not accept the changes, you can cancel your subscription before that date.
14. Governing law
These terms are governed by Polish law. Disputes will be settled by the court competent for the provider’s registered address. [to be reviewed: mandatory rights of customers outside Poland and of sole traders]
